Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Fixtor AI Inc. (“Fixtor,” “we,” “us,” or “our”) governing your use of the fixtor.ai platform, including our mobile app, web portal, and all related services (collectively, the “Service”).

Please read these Terms carefully before using the Service. By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity, and “you” in these Terms refers to that entity.

1. Acceptance and Eligibility

You accept these Terms by creating a Fixtor account, clicking “I agree” during signup, or using the Service after being made aware of these Terms. You must be at least 18 years old and using the platform for lawful business purposes. Fixtor is designed for trade contractors and their teams — not for personal or household use.

2. Account Creation and Team Access

You must provide accurate, complete, and current information when registering. You are responsible for maintaining the security of your credentials, enabling MFA (strongly recommended), and notifying us immediately at support@fixtor.ai of any suspected unauthorized access.

The account Owner can invite team members and assign roles (Owner, Admin, Technician). The Owner is responsible for all actions taken on the account, including AI agent approvals, customer communications, and payment activities. You are responsible for promptly revoking access when a team member leaves.

3. Description of the Service

Fixtor is a field service management platform offering: job management, customer management, invoicing and quoting, team scheduling and dispatch, customer communications (SMS/email/voice), AI agent assistance, payment collection via Stripe Connect, and business reporting.

We aim for 24/7 availability but do not guarantee uninterrupted service. We may modify, add, or discontinue features with reasonable notice.

4. AI Agent Features — How They Work and What to Expect

4.1 What AI Agents Do

Fixtor's AI agents assist with specific tasks:

  • Dispatcher: Suggests schedules, technician assignments, and route optimizations
  • Receptionist: Answers incoming calls, transcribes conversations, logs new job requests
  • Office Manager: Drafts invoices, quotes, and payment follow-up messages
  • Sales Assistant: Suggests upsell opportunities and drafts proposals
  • Marketing Manager: Drafts follow-up and satisfaction messages
  • Business Coach: Generates performance summaries and business insights
  • Technical Advisor: Provides troubleshooting notes and job documentation assistance

4.2 The Human Approval Requirement — This Is Hardcoded

No AI agent on the Fixtor platform sends a message, email, SMS, or invoice to your customer without your explicit approval. This is a fundamental design principle — not a setting that can be turned off. Every customer-facing action proposed by an agent goes into an approval queue. You review it. You approve it. Then it is sent.

4.3 AI Agents Are Assistants, Not Professionals

AI agents are productivity tools. They are not licensed tradespeople, lawyers, accountants, or business advisors. Any advice, recommendation, or content they produce is for assistance only. Apply your own professional judgment before acting on AI-generated content.

4.4 Agent Accuracy

AI agents can make mistakes. You are responsible for reviewing and verifying AI-generated content before approving it. See Section 8 for liability on AI-generated content.

5. Credits — How They Work

5.1 What Credits Are

Credits are the unit of currency for AI agent actions and certain advanced features. Different actions consume different numbers of credits as listed on the pricing page.

5.2 How You Get Credits

  • Monthly allocation: Refreshed at the start of each billing cycle. Unused monthly credits do not roll over — they expire at end of cycle.
  • Top-up purchases: Available in bundles at any time. Top-up credits do not expire during an active account.

5.3 Credit Consumption Order

Top-up credits are consumed first (oldest purchase first), then monthly allocation credits.

5.4 No Refunds on Consumed Credits

Credits consumed by completed AI actions are non-refundable. If you believe credits were consumed due to a platform error, contact support@fixtor.ai within 30 days — we will investigate and restore credits if we confirm a platform error.

5.5 Credits on Account Closure

  • Consumed credits: non-refundable in all cases
  • Remaining monthly allocation credits: expire immediately, non-refundable
  • Remaining top-up credits: non-refundable in cash; for voluntary closures, contact us within 30 days to request a credit to a new Fixtor account (cash refunds at Fixtor's discretion)

Credits have no cash value. They cannot be transferred between accounts, sold, or exchanged for cash except as provided above.

6. Subscriptions and Billing

6.1 Plans

Fixtor offers Solo (Free), Growth ($69 CAD/month), and Business ($149 CAD/month). Current features, credit allocations, and team member limits are on the pricing page, incorporated by reference.

6.2 Automatic Renewal

Paid subscriptions bill monthly and automatically renew. By subscribing, you authorize Fixtor to charge your payment method each period until you cancel.

6.3 Cancellation

Cancel anytime from Settings > Billing > Cancel Subscription. Cancellation takes effect at end of the current billing period. No refund for the unused portion. Account downgrades to Solo; data retained for 90 days after downgrade.

6.4 Upgrades and Downgrades

Upgrades take effect immediately with prorated billing. Downgrades take effect at end of current billing period.

6.5 Price Changes

We will give at least 30 days' notice before a price change affects your account.

6.6 Taxes

Prices are exclusive of applicable taxes (including Canadian GST/HST), which will be added to your invoice as required by law.

6.7 Failed Payments

If payment fails, we will retry and notify you. After 14 days of non-payment we may suspend your account; after 30 days we may terminate it. Data is retained for 90 days after closure due to non-payment.

7. Payment Processing (Stripe Connect)

Fixtor is not a payment processor, money transmitter, or financial institution. Customer payments flow through Stripe Connect — directly from your customers to your Stripe account. Fixtor is not a party to those transactions and is not liable for payment disputes between you and your customers.

To accept customer payments through Fixtor, you must create and maintain a Stripe Connect account subject to Stripe's own terms. Fixtor's role is limited to passing payment information to Stripe via API and displaying payment status in your dashboard. Stripe charges separate processing fees (see stripe.com/en-ca/pricing).

8. AI-Generated Content — Your Responsibility

As described in Section 4.2, no AI-generated content is sent to your customer without your approval. Once you approve and send AI-generated content, you take full responsibility for that content — including invoice amounts, tax calculations, customer messages, and call transcript action items.

Fixtor is not liable for any errors, omissions, or unintended consequences in AI-generated content that you reviewed and approved. The AI agents are tools. You are the professional running your business.

9. Acceptable Use

You agree not to use Fixtor to:

  • Send unsolicited commercial messages (spam) to customers via AI agents
  • Provide false, misleading, or fabricated business or customer information
  • Facilitate fraud, money laundering, or any illegal activity
  • Harass, threaten, or harm any person
  • Reverse-engineer, decompile, or extract platform source code
  • Abuse AI features to generate false, defamatory, or harmful content
  • Enter personal data of people who are not customers or prospective customers

10. Data Ownership and Responsibility

You own the data you create and enter into Fixtor. You grant Fixtor a limited license to store, process, and transmit that data solely as necessary to deliver the Service.

When you enter your customers' personal information into Fixtor, you act as the data controller. Fixtor processes it as your service provider. You are responsible for having a lawful basis to collect and use your customers' data, responding to their privacy rights requests, and complying with applicable privacy laws (including PIPEDA) in your dealings with them.

You may export your data at any time from Settings > Data Export. Upon account closure, you have 30 days to export before data deletion. We will send a reminder at closure and at the 20-day mark.

11. Intellectual Property

Fixtor AI Inc. owns all rights to the platform — software, code, design, AI models, agent logic, and branding. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription.

You retain ownership of the content and data you create in Fixtor. If you provide feedback or suggestions, you grant Fixtor a royalty-free, perpetual, irrevocable right to use that feedback for platform improvement.

12. Warranties and Disclaimers

You represent and warrant that you have authority to enter into these Terms, your use will comply with applicable law, and the information you provide is accurate.

Fixtor warrants it will provide the Service in a professional and workmanlike manner consistent with industry standards.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” FIXTOR EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FIXTOR DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY SECURE, THAT AI AGENT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES, OR THAT ANY PARTICULAR FEATURE WILL REMAIN AVAILABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT SHALL FIXTOR AI INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, EVEN IF FIXTOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FIXTOR'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO FIXTOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

The parties acknowledge these limitations reflect a reasonable allocation of risk and are an essential basis of this agreement. Nothing in this section limits Fixtor's liability for death or personal injury caused by Fixtor's gross negligence, fraud, or any liability that cannot be excluded under applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Fixtor AI Inc. and its directors, officers, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: your use of the Service in violation of these Terms; your violation of applicable law; your infringement of any third-party right; your customers' claims arising from AI-generated content you approved and sent; your failure to obtain proper consent for call recording or customer communications; or any dispute arising from your business operations.

15. Termination

15.1 Termination by You

Close your account anytime from Settings > Account > Delete Account or by contacting support@fixtor.ai. See Section 5.5 for credits on closure and Section 10 for data export rights.

15.2 Termination by Fixtor for Cause

Fixtor may suspend or terminate your account immediately without notice for: fraud, illegal activity, platform abuse, non-payment after the grace period, or conduct threatening platform security. For other material breaches, we will provide notice and an opportunity to cure (10 days, where the breach is curable).

15.3 Effect of Termination

Upon termination: your access is revoked; outstanding fees for the current billing period remain owed; you have 30 days to export your data. Sections 8, 10.3, 11, 13, 14, 15.3, 17, and 18 survive termination.

16. Changes to the Service and These Terms

We may modify the Service at any time with reasonable notice for material changes. For material changes to these Terms, we will post an updated version and send email notification at least 15 days before the changes take effect for existing accounts. Continued use after the effective date constitutes acceptance.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles.

Any dispute not resolved informally shall be brought exclusively in the courts of Ontario, Canada. Both parties consent to the personal jurisdiction of those courts.

We encourage you to contact legal@fixtor.ai first to resolve disputes informally — we commit to good-faith efforts within 30 days.

No class actions. To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Fixtor.

18. General Provisions

  • Entire agreement: These Terms plus the Privacy Policy constitute the entire agreement regarding the Service
  • Severability: If any provision is found unenforceable, remaining provisions continue in full force
  • No waiver: Our failure to enforce any provision does not waive our right to do so in future
  • Assignment: You may not assign these Terms without our consent. Fixtor may assign in connection with a merger or acquisition, with notice to you
  • No agency: Nothing in these Terms creates agency, partnership, joint venture, or employment between you and Fixtor
  • Force majeure: Neither party is liable for delays caused by events beyond reasonable control (natural disasters, internet outages, third-party failures). This does not excuse payment obligations
  • Language: These Terms are in English. In the event of conflict with any translation, the English version governs
